Haley Salas

Managing Director

Haley provides strategic counsel and communications support to companies across industries in a broad range of special situations and high-profile events, including friendly and unsolicited mergers and acquisitions, shareholder activism defense and crisis management. In addition, she works with clients to develop and refine their investor and public relations programs.

Credentials

She received a BS from Wake Forest University with a major in finance and a minor in global trade and commerce studies. Prior to joining Joele Frank in 2016, Haley worked at SunTrust Robinson Humphrey in the Financial Sponsors group.

Worked with American Airlines on their investor day
Supported Stratasys in their contested acquisition of Desktop Metal, defense against Nano Dimension’s tender offer and unsolicited proposals, as well as unsolicited proposals from 3D Systems
Supported Express with their restructuring and sale to joint venture led by WHP Global

Mergers & Acquisitions

She advises companies in friendly and unsolicited transactions. Recent assignments include advising TRIUMPH on its pending sale to Warburg Pincus and Berkshire Partners; CONSOL Energy in its merger with Arch Resources; HashiCorp in its pending sale to IBM; Broadcom in its acquisition of VMware and acquisitions of Symantec’s enterprise security business and CA Technologies; Ritchie Bros. in its contested acquisition of IAA; Sierra Wireless in its sale to Semtech; Herman Miller in its acquisition of Knoll.

Shareholder Activism

She works with companies in public and private activist situations to help defend against some of the most notable activist investors, including Ancora Advisors, BlueMountain Capital Management, D.E. Shaw, Elliott Management, FrontFour Capital, Land & Buildings, Legion Partners, Luxor Capital, Macellum Advisors and Starboard Value, among others.

Crisis Communications

She advises companies managing complex crises or special situations, including litigation, cybersecurity breaches, earnings surprises, internal/board investigations, workforce reductions and facility closures, management succession and unplanned leadership changes.

Investor Relations & Public Relations

She assists public companies in enhancing their overall communications strategy, including corporate positioning, quarterly earnings preparation, employee communications, investor days and annual shareholder meetings. She also provides communications support to private equity firms at both the sponsor and portfolio company level.
