Andy has nearly four decades of experience providing strategic investor and public relations counsel to U.S. and international companies and firms. In addition to his extensive work in special situations, including merger and acquisitions, shareholder activism defense, restructurings and crisis communications, Andy has successfully developed and implemented a diverse range of corporate positioning and communications programs for public and private corporations.
Credentials
Andy received a BA in English literature from Yale University. He also studied Chinese for several years at language institutes in Taiwan. He is a board advisor of the International Rescue Committee (IRC), the world’s leading non-profit, nonsectarian organization for refugees. He is also treasurer and past chair of the Louis and Nancy Hatch Dupree Foundation, a charity that supports the Afghan Centre at Kabul University.

Andy has helped companies of all market cap sizes respond to activism situations and proxy contests. Activists include Elliott, Starboard, JANA Partners, Third Point, Engaged Capital, Ancora, Macellum and Kimmeridge, among others.
M&A / Transactions
ndy advises companies for friendly or unsolicited M&A transactions. He has helped hundreds of companies across industries and market caps with successful campaigns. He has helped develop public positionings, investor relations support, internal communications, and regulator campaigns to support his clients and their advisors.
Restructuring, Bankruptcy & Liability Management
Andy has significant expertise in managing internal and external communications related to out-of-court financial restructurings and in-court Chapter 11 reorganizations. He has advised both significant companies in the energy sector, pharmaceutical sector, hospital and healthcare chains, private equity sponsors and portfolio companies, sports companies as well as entities that fall outside traditional restructuring avenues including Puerto Rico Electric Power Authority (PREPA) and the Mashantucket Pequot Tribal Nation (Foxwoods).
